$1000/12 + $2000 BO+20%AF (Buyout Guaranteed) INFORMATION REGARDING DIGITAL REPLICA CREATION The brand would like those submitting for this project to be aware that all talent will be asked to consent to the creation of a digital replica after production. The digital replica may be used to produce additional content within the scope outlined below during the initial 18-month buyout period or either additional 18-month option period. The commercial publication of each new batch of assets featuring the performer’s digital replica will trigger additional compensation for the performer. Upon the commercial publication of a new batch of assets featuring the performer’s digital replica, the performer will receive a session fee equal to 150% of the initial session fee, or $1,500, as well as an additional buyout fee prorated according to the number of months remaining in the applicable buyout period. If either option for an additional 18-month period is exercised, continued use of any previously generated digital replica performances will be paid at the new prevailing buyout rate after the option is exercised—in the first additional 18-month period, at an additional 10%, and in the second additional period, at an additional 10% above the preceding rate. All of these additional fees will be paid to the performer, with an additional 20% agency fee paid on top of the performer’s compensation to the performer’s agency of record. We understand that both agents and performers may want to know more. The following details may answer potential questions in advance: ***A “digital replica” is defined as a computer program created, in whole or in part, using a performer’s voice, image, and/or performance that has the capability to independently generate new performances not previously rendered by the performer. ***The consent given by performers will apply for the length of the term, including the initial 18-month buyout and any additional options that are exercised. ***The commercial publication of any new batch of assets created using a digital replica’s performance will trigger the payments outlined above to the performer and the performer’s agency of record. The payment remittance will serve as notice that a new batch has been commercially published. ***Each published batch of assets featuring the performer’s digital replica will be capped at 20 assets. ***The performer’s digital replica will not be used to create assets that fall outside the scope of the original usage terms. For example, the performer’s digital replica will not be used to create videos featuring the replica in motion without additional notice, consent, and negotiation with the performer and the performer’s agents. ***Any newly created assets will be part of the same “Lifestyle 26/27” campaign for the brand. The brand will not use a performer’s digital replica for any other brand or company. ***All newly generated images will present the performer only in scenarios that are reasonably consistent with the creative intent, aesthetic, and scope of the “Lifestyle 26/27” campaign and that constitute plausible performances the performer could reasonably have been asked to portray in connection with the campaign. ***The brand will not use a digital replica to modify or create a performance that changes the performer’s physical traits, causes the performer to appear nude or partially nude, or could be offensive to a reasonable person. Examples of changes that modify physical traits include changing the performer’s hair color, skin color, or eye color. The brand may place the performer’s digital replica in clothing that differs from the wardrobe worn during the shoot. ***The brand is committed to using commercially reasonable efforts to protect the security of the digital replica and prevent unauthorized access, use, or copying.
