MATERIALS: Stills and Video (Including but not limited to B-Roll) MEDIA: For Client and Client licensees: All non-broadcast media formats, existing now or in the future, whether now known or hereafter devised, including but not limited to: (a) digital and online media (e.g., Internet, web banners, paid digital advertising, OLV, OTT, CTV, social media, mobile, paid mobile media, applications, podcasts, etc.) (b) all forms of industrial usage (including, but not limited to, in-stadium, in-flight, in-airport, in-hotel, in-cinema, in-kiosk, closed circuit, digital out of home (DOOH), trade shows and at any other events advertised by Company); (c) streaming and connected TV (OTT, CTV, SVOD services); and (d) static images ("Paid Media”). Company shall have the right to use the Materials and Talent's likeness on: (i) Company and Company licensee owned and operated properties, including websites, mobile applications, email marketing, and bikeshare stations; (ii) third-party video platforms (e.g., YouTube); (iii) Company and Company licensee owned and managed social media platforms (currently existing or subsequently developed); and (iv) other static media placements ("Company Affiliated Media”). For Company and Company licensees: Archival, historical, behind-the-scenes, presentations, recruiting, case studies, press and public relations materials including but not limited to, corporate communications, internal, external and trade audiences (e.g., intranet/historical reference, product testing, showreels), and exhibition at industry events, including but not limited to film festivals, advertising award shows, creative competitions, and trade showcases and other non-commercial use (collectively, “Internal/ Archival Media”). TERRITORY: Worldwide TERM: Paid Media and Company Affiliated Media: Three (3) Years commencing on the first use date Internal/Archival Media: In perpetuity TERMS AND CONDITIONS I, the undersigned, agree to perform the Services at the Location(s) on the Shoot Date(s) as described above, for purposes of creating the Materials in connection with the above-referenced Project. I hereby grant to Company. (“Company”) and its agents, licensees, successors, and assigns (collectively, the “Licensed Parties”) the right and permission to use, distribute, publish, exhibit, digitize, broadcast, display, reproduce, and otherwise exploit my likeness, picture, photograph, voice and performance (“Likeness”) as embodied in the Materials, or other material based thereon or derived there from, or to refrain from so doing, for purposes of advertising or trade in promoting and publicizing Company and its products and services, in the Media, throughout the Territory during the Term (and, if elected by Company, during the Renewal Term, which, if elected, shall constitute part of the Term). In addition, at any time during and after the Term, Licensed Parties may use the Materials anywhere in the world for industry trade events, sales meetings and for intra-company communications, research, award shows, publicity (including professional portfolios), file and reference purposes. It is further understood that once on the Internet, the Licensed Parties have limited control over the Materials and shall not be liable for any manipulation or unauthorized use of the Materials by third parties. For clarity, the rights granted hereunder include, but are not limited to, the right to unlimited lifts, versions, still to video, camera angle versioning, edits, translations, and modifications of Likeness at Company’s sole discretion. I acknowledge and agree that Company may utilize artificial intelligence programs (i) for standard post-production editing; (ii) to derive motion from stills; and (iii) to generate additional camera angles informed by on-set captures, including 360° imagery, without fundamentally altering the Performer’s appearance.
